Sean Wagner

Sean C. Wagner is a business attorney with deep experience in a wide variety of business transactions, commercial litigation, government investigations, and regulatory compliance matters. In addition to his representation of commercial entities in mergers, acquisitions, and joint ventures, Mr. Wagner regularly represents clients in complex commercial litigation in state and federal courts throughout the country, including cases arising from shareholder disputes and derivative actions, partnership disputes, misappropriation of trade secrets, unfair competition, and breach of contract. He also provides strategic, proactive counsel focused on helping companies navigate compliance and litigation risks associated with information security, digital services and products, cybersecurity, e-commerce, and data privacy.

Mr. Wagner began his legal career serving as a judicial law clerk for the Honorable James H. Payne in the United States District Court of the Eastern District of Oklahoma. He entered private practice as an associate attorney at the Charlotte office of one of the largest law firms in the country, where he advised clients in a variety of industries on a wide array of complex strategic transactions, litigation, and regulatory compliance matters.

Mr. Wagner graduated with a Bachelor of Arts degree in public affairs and administration from the University of Oklahoma and subsequently earned a Juris Doctorate from the University of Oklahoma College of Law. While at the University of Oklahoma College of Law, Mr. Wagner was elected to the Order of the Coif, Order of the Barrister, and Order of the Scribe, received American Jurisprudence Awards for Excellence in Administrative Law, Corporations, and Litigation Skills, and served as the Executive Articles Editor of the Oklahoma Law Review. Mr. Wagner was also the recipient of the Robert Emery, Paul K. Frost, and Sharp Awards.

Mr. Wagner is licensed to practice law in North Carolina and Oklahoma, and he is a member of the Mecklenburg County Bar Association, North Carolina Bar Association, and Oklahoma Bar Association. He is admitted to practice before the United States District Courts for the Eastern, Middle, and Western Districts of North Carolina; the United States Bankruptcy Court of the Eastern District of North Carolina; the United States District Courts for the Eastern, Northern, and Western Districts of Oklahoma; the United States District Court of the Eastern District of Texas; the United States Courts of Appeal for the Fourth and Tenth Circuits; and the Tribal Courts of the Cherokee, Chickasaw, Choctaw, Muscogee (Creek), and Citizen Potawatomi Nations.

An active community servant, Mr. Wagner serves on both the MCBA Professionalism and Lawyer Life and Social and Networking Committees. He also serves as a board member for Junior Achievement of the Carolinas and the Historic Cabarrus Association.

Ben Hicks

Benjamin D. Hicks is a business attorney with extensive experience representing private businesses in corporate transactional matters, routinely advising clients in mergers, acquisitions, corporate finance transactions, and general corporate matters. Mr. Hicks represents business and business owner clients across the life cycle of a business, advising early-stage businesses in entity formation and structuring matters, growth-stage businesses in investment and corporate governance matters, and providing general corporate counsel to mature businesses.

Mr. Hicks also advises financial institutions and investors in corporate finance transactions and portfolio company management. Mr. Hicks provides advice on corporate governance matters and commercial transactions for clients of all sizes. In addition to his transactional practice, Mr. Hicks routinely represents clients in regulated industries in connection with government investigations and regulatory compliance matters.

Mr. Hicks began his legal career in the New York office of an international law firm, following which he relocated to Charlotte to practice in the business law group of a leading regional law firm. Mr. Hicks graduated with a Bachelor of Arts degree in political science from Western Carolina University. Mr. Hicks earned a Juris Doctorate from the University of North Carolina School of Law, where he served on the North Carolina Law Review.

Mr. Hicks is licensed to practice law in North Carolina, and he is a member of the Mecklenburg County Bar Association and the North Carolina Bar Association.

Carla Clements

Carla H. Clements is an intellectual property attorney who counsels businesses on their trademark and copyright rights. Carla has experience representing businesses in litigation as well as prosecution matters. Her practice focuses on helping clients protect their brands through registration with the United States Patent and Trademark Office. Carla works closely with her clients to enforce their intellectual property rights as well.

Carla began her legal career in a large national law firm in Charlotte, where she advised clients on trademark and copyright matters. Carla graduated with a Bachelor of Arts degree in public policy studies from Duke University. Carla earned a Juris Doctorate from the University of North Carolina School of Law, where she was a Chancellors Scholar as well as a member of the Pro Bono Board. Carla is licensed to practice law in North Carolina and she is a member of the Mecklenburg County Bar Association.

As a Teach For America alumna, Carla has a passion for education and serves on the Board of Directors for GenOne as well as mentors high school students.
